Terms of Service
Effective Date: April 1, 2026
These Terms of Service ("Terms") govern your access to and use of the Yoke platform, including the website at yoke.llc, web application, browser extension, and all related services (collectively, the "Service"), operated by Yoke AI LLC, a Texas limited liability company ("Yoke," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Definitions
"Council" means a configured sequence of AI model calls with domain-specific prompts that analyze user-submitted documents or queries through a multi-model pipeline.
"Run" means a single execution of a Council against user-submitted content, producing structured output.
"User Content" means all documents, text, data, files, and other materials you submit to the Service for analysis.
"Output" means the analysis, reports, verdicts, and other results generated by the Service from your User Content.
"Aggregated Data" means anonymized, de-identified, and statistically aggregated information derived from Runs across the platform that cannot be used to identify any individual user, document, transaction, or counterparty. Examples include aggregate market terms, fee structures, deal characteristics, and industry benchmarks expressed as statistical distributions.
2. The Service
Yoke is an AI orchestration platform. The Service routes user-submitted documents and queries through sequential large language model (LLM) pipelines configured with domain-specific expert prompts. Each model in a Council analyzes the prior model's output, producing peer-reviewed AI analysis.
The Service does not provide legal, financial, investment, medical, or other professional advice. Output is structured analytical information intended to assist qualified professionals in their own decision-making. You are solely responsible for any decisions or actions taken based on the Output. You should independently verify all Output and consult with appropriate professionals before acting on it.
3. Accounts and Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You must provide accurate registration information and maintain the security of your account credentials. You are responsible for all activity under your account. You must notify us immediately of any unauthorized access.
4. Subscription Tiers and Payment
The Service is offered in the following tiers, which Yoke may modify from time to time with reasonable notice:
(a) Free Trial. 14-day trial period with limited council access. No payment required. Trial access automatically terminates after 14 days unless you subscribe to a paid tier.
(b) Pro ($29/month). Access to Bespoke, Legal Contract, and Citation Verification councils. Unlimited runs.
(c) Platform ($79/month). Access to all councils. Unlimited runs. Platform tier usage contributes to Aggregated Data (see Section 7).
(d) Enterprise. Custom pricing for Custom Council configurations, branded output, and dedicated calibration. Terms governed by a separate agreement.
All paid subscriptions are billed monthly in advance. You authorize Yoke to charge your designated payment method on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds for partial months.
5. User Content — Ownership and License
5.1 You retain all ownership rights in your User Content. Yoke does not claim ownership of any documents, text, or data you submit to the Service.
5.2 Limited Processing License. By submitting User Content, you grant Yoke a limited, non-exclusive, non-transferable license to process your User Content solely for the purpose of operating the Service and delivering Output to you. This license terminates when you delete your account or the applicable User Content.
5.3 No Human Review. Your User Content is processed programmatically through AI model APIs. Yoke personnel do not access or review your User Content except: (a) as necessary to provide technical support you have requested; (b) as required by law; or (c) to investigate a violation of these Terms, in each case with access limited to the minimum necessary.
5.4 Data Retention. Run inputs and outputs are retained for the purpose of delivering the Service (including run history) and are deleted within 90 days of account termination. You may request earlier deletion by contacting support@yoke.llc.
6. Output — Ownership and Limitations
6.1Subject to Yoke's underlying intellectual property rights in the Service, prompts, and pipeline configurations, you own the Output generated from your User Content and may use it for any lawful purpose.
6.2 Output is generated by AI models and may contain errors, omissions, or inaccuracies. Yoke does not guarantee the accuracy, completeness, or fitness for any particular purpose of any Output. You are responsible for reviewing and verifying all Output before relying on it.
7. Aggregated Data and Market Intelligence
This section describes how Yoke uses anonymized platform data to generate market intelligence. Please read it carefully.
7.1 Grant of License to Aggregated Data. By using the Service, you grant Yoke a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to create, use, publish, distribute, and commercially exploit Aggregated Data derived from your Runs. This license survives termination of your account or these Terms.
7.2 What Aggregated Data Includes. Aggregated Data consists exclusively of anonymized statistical information about market terms, deal structures, fee arrangements, governance provisions, and other characteristics extracted from documents processed through the Service. Examples include:
- average management fees, carried interest rates, and preferred returns across fund types and vintages;
- prevalence of specific governance provisions (e.g., clawback, key person, no-fault removal) by fund size and strategy;
- market-standard ranges for economic and structural terms across asset classes;
- trend data showing how terms evolve over time;
- benchmark comparisons and percentile rankings of deal terms.
7.3 What Aggregated Data Excludes. Aggregated Data will never include: (a) the identity of any user; (b) the name of any fund, sponsor, manager, issuer, borrower, or counterparty; (c) specific transaction amounts tied to identifiable parties; (d) any document or portion of a document submitted by a user; or (e) any information from which a specific transaction, entity, or individual could reasonably be identified. Yoke applies industry-standard de-identification techniques and will not attempt to re-identify any Aggregated Data.
7.4 Market Intelligence Products. Yoke may use Aggregated Data to create and publish market intelligence reports, benchmarks, indices, trend analyses, and similar products ("Market Intelligence Products"). Yoke may distribute Market Intelligence Products to subscribers, the public, or third parties, and may charge fees for access to Market Intelligence Products. No user will receive compensation for Aggregated Data derived from their Runs.
7.5 Minimum Aggregation Threshold. Yoke will not publish any Aggregated Data metric or statistic derived from fewer than five (5) distinct, unrelated transactions. This minimum aggregation threshold is designed to prevent the identification of any individual deal from published data.
7.6 Opt-Out. If you do not wish your Runs to contribute to Aggregated Data, you may opt out by notifying us at support@yoke.llc. Opt-out will take effect within 30 days of receipt. Aggregated Data generated prior to your opt-out will not be retroactively removed, as it has been irreversibly anonymized and combined with other data. Users on the Pro tier and Free Trial do not contribute to Aggregated Data unless they affirmatively opt in.
8. Yoke Intellectual Property
The Service, including all software, algorithms, pipeline configurations, council prompts, prompt libraries, user interface design, documentation, and trademarks, is the exclusive property of Yoke AI LLC and is protected by intellectual property laws. Nothing in these Terms grants you any right to Yoke's intellectual property except the limited right to use the Service as described herein.
Council prompts and pipeline configurations constitute trade secrets of Yoke AI LLC. You agree not to reverse-engineer, decompile, or attempt to extract the prompt text, model sequencing, or configuration of any Council.
9. Prohibited Uses
You agree not to:
- use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- submit User Content that you do not have the right to submit or that infringes any third-party intellectual property or confidentiality obligation;
- attempt to access, extract, or reverse-engineer the prompts, configurations, or pipeline logic of any Council;
- use automated systems to scrape, copy, or extract data from the Service;
- interfere with or disrupt the Service or impose an unreasonable load on the infrastructure;
- share your account credentials with any third party or allow multiple individuals to use a single account;
- resell, redistribute, or white-label the Service or Output without Yoke's prior written consent.
10. Confidentiality
Yoke acknowledges that User Content may contain confidential, privileged, or commercially sensitive information. Yoke will treat all User Content as confidential and will not disclose it to third parties except: (a) to third-party AI model providers solely to the extent necessary to process Runs (subject to each provider's enterprise data processing terms, which prohibit use of inputs for model training); (b) as required by applicable law, regulation, or valid legal process; or (c) with your prior written consent.
11. Third-Party AI Providers
The Service uses AI models provided by third parties, including Anthropic (Claude), OpenAI (GPT), and Google (Gemini). Your User Content is transmitted to these providers' APIs as part of Run processing. Yoke uses enterprise-tier API access with each provider, under which: (a) inputs and outputs are not used to train provider models; and (b) data is processed subject to each provider's enterprise data processing agreements. Yoke is not responsible for any third-party provider's data practices beyond what is specified in our agreements with those providers.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. Yoke does not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will be accurate or reliable.
Without limiting the foregoing, Yoke makes no representation or warranty that Output constitutes legal advice, financial advice, investment advice, medical advice, or any other form of professional advice. Output is informational only.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Yoke's total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amounts paid by you to Yoke in the twelve (12) months preceding the claim. In no event shall Yoke be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability.
14. Indemnification
You agree to indemnify, defend, and hold harmless Yoke AI LLC and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.
15. Modifications to Terms
Yoke may modify these Terms at any time by posting the revised Terms on the Service with a new effective date. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service and cancel your subscription.
16. Termination
Either party may terminate at any time. You may terminate by canceling your subscription and deleting your account. Yoke may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination: (a) your license to use the Service terminates; (b) Yoke will delete your User Content and Run history within 90 days; (c) Sections 5.1, 7 (Aggregated Data), 8, 12, 13, 14, and 18 survive termination.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Midland County, Texas, and you consent to the personal jurisdiction of such courts.
18. General Provisions
Entire Agreement. These Terms, together with any Enterprise agreement and our Privacy Policy, constitute the entire agreement between you and Yoke regarding the Service.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
Waiver.Yoke's failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment.You may not assign these Terms without Yoke's prior written consent. Yoke may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Notices. Notices to Yoke should be sent to support@yoke.llc. Notices to you will be sent to the email address associated with your account.
